Primary Purpose: To take care of the Legal Documents (Contracts & Agreements) for the Organization.

Key Accountabilities/Activities:

Primary Responsibility:

  • Drafting, Vetting, Reviewing, Finalizing, Managing, Tracking of various Agreements, Memorandum of Understanding, Terms of Settlement, Contracts, Legal Documents including but not limited to Lease Deed, Trust Deed, Letter of Intent, Agreement to Lease, Sale Deed, Agreement to Sale, Leave and License Agreement, Service Level Agreements, IT Contracts, Marketing Contracts, Admin Contracts, Projects Contracts, Agreements for Security Personnel, Agreements for House Keeping, Agreements for Cafeteria, Outsourcing Agreements, Non-Disclosure Agreement, Power of Attorneys, Vendor Agreements, Notices etc.
  • Conduct primary Due Diligence including title search pertaining to proposed sale, purchase, acquisition or lease, etc of properties or land
  • Liaison, meeting with various external Agencies, Law Firms/Lawyers, Counsel, Consultants, Statutory & Regulatory Authorities / Departments, on various legal matters. Crisis Management
  • Advice the internal clients e.g. the Commercial, Business team on legal implications of any strategic initiatives launched with respect to new business ventures, property, education, investments etc.
  • Appoint Lawyers / Solicitors / Law Firms
  • Appear before various authorities, boards, councils and quasi-judicial authorities, local municipal and other authorities
  • Advice, guide and assist all internal stakeholders/departments/sister concerns, Corporate Office, Zonal office, Centers/Schools on Legal matters Drafting of property documents, sale deed, trust deed, lease agreements, leave and license agreements, MOUs, TOSs, agreement to sale and other property documentation. Advise on land & property matters
  • Drafting of all commercial and legal documents as per the requirement of business to ensure that they are in accordance with the corresponding laws
  • Effectively liaison with solicitors, advocate firms, lawyers on property acquisition or arrangement matters and ensure timely follow up and closure of desired arrangement. Keep management updated on development periodically
  • Design, augment and review contractual instruments and templates which would assist and support various business activities including overseeing the drafting of documentation for Admin / IT / HR / Marketing / Projects vendor transactions and ensuring that the SLA’s are well defined and audited
  • Effectively validate the documentation pertaining to various business deals to ensure legal compliance and guide the management team on the same
  • Effectively partner in the negotiation process of key business contracts to protect the interest of the organization
  • Compliance of business contracts and obligations and guide on consequences of breach of any provisions, thereby protecting the organization from any legal ramifications
  • Intellectual Property Rights: Getting registration of trademarks (labels, logos and word marks), Ensuring Re-registration of existing trademarks on their expiry. Filing of oppositions in applications for registration filed by other entities seeking registration of trademarks that are similar to the organization’s registered marks maintenance and timely circulation of MIS with necessary updates

Secondary Responsibility:

  • Advise on intricacies of law when referred to by other departments concerned
  • Update all departments of new developments / amendments in law and their compliance requirements
  • Appear before the authorities and courts as and when needed

Work Relations:

Internal:

  • Reporting to VP Legal and Group General Counsel for all functional as well as admin issues
  • Interfacing with all personnel across the organization, including those based out of CO/ZO as well as other Centers/Schools/ BUs
  • Interfacing with the leadership team
  • Interfacing with HR, Finance, Admin, Technology, Marketing, Projects or any people for any other operational issue/s
  • It is envisaged to safeguard the organization and the management against legal proceedings / litigations by having comprehensively drafted legal documents, advising / updating all departments / managements of new developments / amendments in law

External:

  • Interface with customers / courts / solicitor / law firms / lawyers
  • Interface with Government agencies / Landlords / Institutional bodies
  • Interface with External Vendors/ Legal Agencies for all elements pertaining to the execution of contracts and legal obligations

Qualification:

At least a LLB / Law Graduate from a recognized College / University. Masters in Law (LLM) preferred

Expected Competencies:

  • Proven research skills, Strong interpersonal skills, Comfortable with Liaison work, Strong Communication Skills, Good Presentation Skills (Soft skill) to be able to proficiently articulate the points of discussion, excellent analytical skills, ability to make recommendations, notes based on information gathered and sound judgment
  • Demonstrated ability to work in a high growth and dynamic business environment and take ownership of entrustments
  • Ability to deal with ambiguity, understand business requirements and translate those into efforts
  • High focus on outcomes and ability to stand up to committed deliverables
  • Strong communication, interpersonal skills and presentation skills and ability to proactively drive consensus in decision making, especially in conflicting situations
  • Proficiency in English & Hindi language required. Additionally, knowledge of Marathi Language (to be able to read, write and speak) is a must
