Legal Counsel

Enphase Energy. Bangalore, Karnataka, India

Enphase Energy India, a subsidiary of the US based renewables technology company Enphase Energy, Inc. is seeking an attorney, for an exciting opportunity as in-house Legal Counsel, with three to five years of post-qualification experience, to provide end to end legal support of the Enphase client group in India, which may include coordination with clients in other international geographies. This position reports to the Regional Counsel in India and is a regular, full-time position based in Bangalore.

The Legal Counsel will be responsible for providing legal support to the business with a strong emphasis on drafting and negotiating vendor/supplier contracts, provider agreements, as well as providing legal advice and counseling. The Legal Counsel may also be responsible for assisting with corporate governance matters as requested by the supervising attorney. The ideal candidate should be capable of taking on new challenges and working independently, with a “can-do” attitude, in a very fast-paced environment.

The Successful Candidate Must Be

  • a self-starter who is comfortable working independently on both high-level projects and the day-to-day requirements and paperwork of a lean legal department
  • interested in continuing and expanding her or his career as a transactions attorney, supporting a hyper-growth technology company
  • eager to learn and take on the challenge of handling a broad range of of issues across many time zones;
  • able to work both independently and as part of a team, taking ownership and responsibility for completing projects, and reporting matters and issues to the supervising attorney as appropriate;
  • able to support a variety of legal initiatives, including collaborating with cross-functional stakeholders
  • prepared for an immediate hands-on experience with an accelerated learning curve consistent with Enphase’s culture and values; and

Responsibilities Include But Are Not Limited To

  • Managing and advising business teams with respect to the drafting, vetting and negotiation of complex services contracts, including vendor agreements and renewals, supplier agreements, work orders, outsourcing agreements, non-disclosure agreements and other commercial agreements depending on experience and business requirements; and liaising with all necessary cross-functional business clients on such agreements;
  • Proactively identifying key issues and risks during strategic negotiations and raising them to the attention of the clients and to the supervising attorney;
  • Depending upon experience, assisting the supervising attorney in managing Enphase India’s regulatory compliance, licensing, and registration obligations for existing and future business lines in India;
  • Developing relationships with various business units and functional departments and develop understanding of their strategies and objections to better serve the company’s needs;
  • Creating and maintaining template agreements and refining contract processes and forms;
  • Supporting the Legal team in drafting, implementing, and enforcing legal and compliance policies; and
  • Assisting in other matters as may be requested.

Requirements

  • A law degree from a leading university or law school in India
  • 3-5 years’ experience working in commercial, technology, and/or transactional matters including a combination of law firm and in-house experience, preferably at a high-technology company
  • Strong and clear verbal/written communication skills with an ability to speak “non-lawyer” with business partners throughout the company
  • Excellent drafting, vetting, negotiation, and organizational skills
  • Ability to be flexible, to think strategically and to balance legal risks against business concerns
  • Possess high integrity, ethics, a good attitude, and a strong & persuasive personality with demonstrated ability to execute in a fast-paced environment
  • Ability to collaborate cross-functionally and build enduring relationships
