Job Description
The role
We are looking for an experienced Legal Counsel to join our Legal IT Team. The position will be responsible for providing commercial legal support and advice for IT across Toll consistent with the Toll Legal and the Toll Legal Way with the objective of effecting and accomplishing Toll Group strategy. The values enshrined in the Toll Way and the Toll Group strategy must be enabled through ensuring a unified culture of safety, people, customer focus and operational excellence is in place.

As The Legal Counsel, You Will

  • Providing timely and necessary support legal support and advice to the business and management generally under the guidance and direction of the Lead Counsel, including and contract drafting – with particular focus on Toll’s preferred positions, litigation management, and compliance with applicable statutory laws.
  • Supporting the Lead Counsel in driving the delivery of IT Legal strategic plan, ensuring compliance with Toll Legal Way.
  • Apply effective risk management techniques and offer effective commercial and legal advice on issues.
  • Ensure corporate governance rules and processes are maintained and enforced.
  • Draft and review SaaS, licensing, maintenance, subscription and other IT service-related agreements with particular focus on liability, insurance, term and termination provisions.
  • Work with IT Commercial in understanding the requirements when considering legal documents.

About You
To be successful in this role, you will need:

  • Graduate/Post Graduate Degree in Law
  • Requirement to be admitted as a Legal Practitioner and maintain legal practising certificate in home jurisdiction.
  • At least 5 years’ experience working in a legal capacity within or servicing the IT industry.
  • Experience in drafting and negotiating IT contracts and documentation.
  • Experience assisting with complex IT transactions.
  • Multi-National Corporation and Public Listed Company experience well regarded

Qualifications

  • Graduate/Post Graduate Degree in Law
  • Requirement to be admitted as a Legal Practitioner and maintain legal practising certificate in home jurisdiction.
