Provide support on corporate actions with respect to Capital Markets, Corporate Finance, Banking, Treasury and other general corporate matters for the Tata Steel group including Drafting, review, negotiation, and finalization of various offer/financing documents such as Prospectus, DRHP, RHP, Information memorandum, Loan Facility Agreement, working capital facility Agreement, LC Indemnity, Deed of hypothecation or Mortgage, Security Trustee Agreement.
This includes a review of various terms such as Risks, Material Litigation, Compliances, Reps and Warranty, Indemnity, Security, Event of Defaults, Termination, disclosure obligations, etc.
Highlighting risks to business and finance teams, in various transactions, effecting business decision making Legal research and preparing legal opinions on the proposed transaction, structures, any other regulatory filings/ approvals, and other critical matters
Work in cross-functional teams for all the above matters Legal clearance/ opinions on notes, presentations, public notices, application, forms, submissions, other documents
Assistance in compliance with SEBI Regulations, Companies Act, RBI regulations, any other applicable regulations/ guidelines and review of approvals from SEBI, RBI, Stock exchange or other regulatory authority;
Managing investigations by various governmental and regulatory authorities and handling related corporate disputes;
Providing other legal advisory and support to Tata Steel group
Advising on and drafting related group-level policies for the Tata Steel group
Sensitizing business on key regulatory developments and opinion/Suggestion on draft and final guidelines/ circular/ regulations
