Genpact is inviting applications for the role of Senior Manager, Legal Counsel
This role will assess scope of work, business processes, workflows, information exchanges, service levels, other commercial and legal aspects of the contract for potential exposure to liability risks arising from the use of proprietary data, trademarks, IP, data security and other non-standard terms and conditions. You will have to liaise with business partners to resolve all legal issues and mitigate liability risks
You will be encouraged to Draft, negotiate and review all customer / Vendor contracts including Master Services Agreement, Statement of Works (SOWs), Term Sheets, Amendments, Change Orders and Master Terms of Conditions (MTC)
You will have to build awareness of legal risk exposures/prepare and disseminate legal risk exposure mitigation policies and procedures, including standardization of agreements, etc.
You will have to conduct legal audits of various functions to ensure compliance with the policies and procedures
Responsibilities
Determine renewal of accreditations or certifications necessary to maintain the required standards in personal data processing; and
On request, to prepare SOW’/Work Orders for IT Vendor engagements in line with the agreed terms of the principal document. Review and redline the SOW/Work Orders shared by IT Vendors;
Discussions and negotiations with the IT Vendors over Genpact standard clauses and bring them to closure;
Monitor and participate in, as necessary, internal investigations of complaints from clients and employees
Prepare the Risk Assessment Template if the Vendor doesn’t agree to Genpact standard terms and seek approval from Business Leader SVP
Preparing and sharing the monthly MIS in relation to the previous months’ work done and in progress;
Provide support in integrity related investigations, as well as to the representatives of the company for compliance-related matters;
Qualifications we seek in you! Minimum qualifications
Law degree from a premium law school of India
Master’s degree in IPR will be added advantage
Preferred qualifications
Meaningful experience in contract drafting, reviewing and negotiating. Ability to balance commercial transactions and other applicable areas of law
Knowledge in IT/ ITeS areas / Industry
Excellent Knowledge of working on IP and Digital transactions including Data Privacy
Prior experience of working with a leading corporate law firm, corporate clients (external or internal).
Good knowledge of Indian laws and international commercial laws,
Having gained in-depth knowledge of the Indian legal system,
Experience in the service industry is desirable
Should have a good grasp of commercial laws, regulations and legal concepts, policies and procedures related to IT and ITES. Requires strong drafting and negotiation skills.
Experience (in house/authorities/private law firm) in the field of employment law, litigation, commercial law (including software/cloud-related contracts), data protection, general compliance, and corporate law;
Prior legal experience combining corporate and private law settings including substantial experience with matters pertaining to commercial transactions, litigation management, compliance, and general corporate law matters.
Established ability to influence actions without direct leadership responsibility for teams or processes with a shown ability to build relationships within a matrixed environment (both cross-functionally and cross-business)
Proven ability to lead and execute optimally at all levels of the organization
Outstanding communication skills – both written and verbal – with a proven ability to communicate to all “customers” internally and externally to the business
Demonstrated track record of investigating and resolving complex compliance issues
Strong knowledge on a wide range of legal subjects, ability to build on this knowledge, spot issues and bring in specialists as needed
Willingness and capacity to perform administrative tasks, needed for the well-functioning of the team
Demonstrated ability to meet tight deadlines; ability to prioritize and plan, coordinate and execute on assignments, peer manage relations with colleagues of other disciplines
Strong analytical ability, creativity and sound judgment in resolving legal issues
